Why an LLP

Flexibility, with limited liability.

An LLP is a separate legal entity where partners are not personally liable for the firm's debts or each other's actions. It is popular with CA, legal, design and consulting firms.

  • Limited liability for partners
  • No minimum capital
  • Lighter annual compliance
  • No mandatory audit below limits
  • Flexible profit sharing
  • Fewer restrictions than a company

Frequently asked questions

LLP questions, answered.

How is an LLP different from a Private Limited?
An LLP has lighter compliance and no early audit requirement, but it cannot raise equity from VCs or issue ESOPs. It suits services firms; a Pvt Ltd suits funded startups.
Is audit mandatory for an LLP?
Only once your turnover or capital contribution crosses the statutory limits. Below those thresholds, no statutory audit is required.
How many partners do I need?
A minimum of two designated partners, at least one resident in India. There is no upper limit on the number of partners.
Can an LLP be converted to a company later?
Yes. An LLP can be converted into a Private Limited company as you grow and need to raise funding. We handle the conversion.
